1. Definitions and Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Finunique Small Private Limited (“Finunique”). By using our Services, you agree to be legally bound by these Terms. If you do not agree, do not use our Services.

2. Scope of Services

Finunique provides digital payment processing, merchant onboarding and KYC, API integrations, transaction tracking, escrow account management, and support for refunds and disputes, all in line with RBI and NPCI guidelines.

3. Eligibility Criteria

Use of our Services requires you to be at least 18 years old, legally competent, a validly registered business in India, and not restricted by law. Finunique reserves the right to deny access at its discretion.

4. Onboarding Process and KYC Requirements

Merchants must complete KYC as per RBI and PMLA requirements. Documents include PAN, Aadhaar, business registration proof, bank details, and authorized signatory ID. Additional details may be requested for Enhanced Due Diligence (EDD).

5. User Responsibilities and Restrictions

You must provide accurate information, use the Services for lawful purposes, and keep credentials confidential. Prohibited activities include money laundering, illegal betting, or selling restricted goods. Report unauthorized use or breaches promptly.

6. Transaction Processing Terms

We support UPI, cards, net banking, wallets, and QR payments via RBI-authorized banks. Success depends on networks and banks. Do not tamper with flows or validations.

7. Fees, Charges, and Settlement Timelines

Fees are as per Merchant Agreement, exclusive of taxes. Settlements occur on T+1 basis, with exceptions for holidays or compliance holds. Settlements may be delayed or withheld in case of investigations or non-compliance.

8. Refunds, Chargebacks, and Dispute Resolution

Refunds are merchant-initiated, with timelines subject to banks. Chargebacks require prompt merchant response; unresolved disputes can result in penalties or suspension.

9. Data Privacy and Consent

We collect and process data per DPDP Act, IT Act, and RBI norms. By using Services, you consent to our Privacy Policy. You may request correction or deletion by contacting our Grievance Officer.

10. Intellectual Property Rights

All Finunique content and software are protected. Unauthorized use or distribution is prohibited. API and dashboard use is under a revocable, non-transferable license.

11. Limitation of Liability and Disclaimers

Finunique is not liable for indirect or consequential damages. We do not guarantee uninterrupted service. Our maximum liability is limited to fees paid in the last 30 days.

12. Suspension or Termination of Services

We may suspend or terminate access for violations, fraud, or legal requests. Post-termination, obligations related to past transactions remain enforceable.

13. Governing Law and Jurisdiction

These Terms are governed by Indian law. Disputes fall under the exclusive jurisdiction of courts in [City, State].

14. Changes to Terms & Conditions

We may update these Terms at any time. Continued use constitutes acceptance. Please review periodically.
